Part A — Terms of Business: Client Terms [cite: 8]

1. Definitions and Interpretation [cite: 9]

In these Terms, definitions apply to interpretation parameters unless contexts dictate variations[cite: 10, 12, 13]:

Orizon / Employment Business [cite: 11] Orizon Group Ltd, operating as an employment business under the Employment Agencies Act 1973[cite: 11].
Client [cite: 11] The business, organisation, or individual to whom Orizon supplies or introduces Workers[cite: 11].
Worker [cite: 11] Any individual supplied (temporary, contract, trial, or managed on-site workforce) remaining on Orizon’s payroll[cite: 11].
Assignment Schedule [cite: 11] Document defining identity, role, timelines, hours, and specific Charge Rates for an active assignment[cite: 11].
Charge Rate [cite: 11] Hourly billing structure including worker pay, margin, NI, pension, holiday pay, and statutory frameworks[cite: 11].
Relevant Period [cite: 11] 8 calendar months from the last date of worker supply or the date of the most recent Introduction[cite: 11].

2. Application of These Terms [cite: 14]

These Terms of Business represent the entire agreement between Orizon and the Client[cite: 15]. Requesting or accepting any supplied Worker creates full automatic acceptance of these terms, overriding Client purchase orders or booking confirmations unless specifically altered in writing by an authorised Orizon Director[cite: 16, 17, 18].

3. Obligations of Orizon [cite: 19]

Orizon guarantees to perform the following core compliance workflows:

  • Verify each Worker’s right to work in the UK in accordance with the Immigration, Asylum and Nationality Act 2006 before deployment[cite: 22].
  • Employ all Workers directly on Orizon's payroll, maintaining sole liability for PAYE, National Insurance, pension tracking, and holiday pay allocations[cite: 24].
  • Maintain Employers’ Liability insurance of at least £10 million and Public Liability insurance of at least £5 million[cite: 25].
  • Process necessary DBS checks based on safe placement conditions[cite: 23].

4. Obligations of the Client [cite: 29]

  • Provide accurate role specifications, risk definitions, and health data tracking constraints in ample time[cite: 31].
  • Supervise, direct, and control the Worker during Assignments as if they were a direct employee[cite: 33]. Orizon maintains no day-to-day on-site operational control[cite: 34].
  • Do not permit any Worker to drive vehicles or operate specialized plant machinery without prior written authorization from Orizon[cite: 35].
  • Do not move any Worker to an alternative role, layout tracking site, or location parameter without Orizon's written approval[cite: 36].
  • Maintain Employers' Liability (minimum £10M) and Public Liability insurance (minimum £5M) at all times[cite: 40].

5. Charge Rates and Invoicing [cite: 42]

The complete Charge Rate encompasses worker pay, NI metrics, pension tools, holiday accrual, statutory allowances, and Orizon's operational margins[cite: 45, 46, 47, 48, 49, 50, 51, 52]. Rates can adapt with a 14-day notice window if national minimum wage changes or structural tax legislation triggers shift adjustments[cite: 53].

Timesheet Approvals [cite: 54]
Clients must sign off timesheets weekly[cite: 55]. If delayed beyond 3 working days, Orizon reserves the right to automatically bill based on scheduled booking parameters[cite: 56].
Payment Cycles [cite: 57]
Invoiced weekly in arrears[cite: 58]. Net payment terms stand at 14 calendar days from the invoice generation date, cleared in GBP (£) without deductions[cite: 59, 60, 61].

6. Cancellation, Substitution, and Shift Changes [cite: 74]

14. Limitation of Liability and Indemnity [cite: 161]

Orizon’s total aggregate liability under these Terms is strictly capped at the total Charge Rates paid by the Client in the preceding 12 months[cite: 163]. Orizon maintains no liability for lost corporate profits, business interruptions, or worker actions occurring while under the direct supervision and operational control of the Client[cite: 164, 166, 167, 169].

20. Managed On-Site Workforce: Additional Terms [cite: 219]

Where active, Orizon supplies a dedicated on-site coordinator (the "On-Site Manager") to oversee scheduling, check attendance metrics, and handle site quality checks[cite: 223, 224, 225, 227]. These terms supplement general rules and prevail during operational conflicts[cite: 221].

  • Client Provisioning: Provide desk space, system access integrations, and single liaison contact points[cite: 232, 233].
  • KPI Management: Performance tracking metrics include fill rates, shift attendance parameters, and speed of response[cite: 237, 238, 239, 240, 241].
  • Management Fees: Structured either as a fixed monthly fee layout or an agreed percentage margin uplift on the standard worker base rates[cite: 246, 247, 248, 249].

Part B — Terms of Engagement: Worker Terms [cite: 287]

1. Your Relationship with Orizon [cite: 290]

You are directly employed by Orizon Group Ltd for all operational assignments[cite: 291]. Orizon remains your employer for tax, payroll administration, National Insurance, auto-enrolment pension mechanisms, and holiday allocations[cite: 291]. While on assignment, you operate under the day-to-day supervision of the Client, but your employment contract remains bound to Orizon[cite: 292].

2. Your Core Obligations [cite: 295]

All engaged field personnel must execute the following duties:

  1. Attend assigned shifts punctually, following site rules and safety constraints[cite: 297, 300].
  2. Submit verified, accurate timesheets on time at the end of every working week[cite: 301].
  3. If unable to attend a shift, notify Orizon via phone or digital channels at least 4 hours before the shift start time[cite: 302].
  4. Return all company or client uniforms, ID security badges, and tools immediately upon contract conclusion[cite: 306].

3. Pay and Benefits [cite: 307]

Wages are disbursed weekly in arrears directly into your bank profile following successful timesheet approvals[cite: 308, 310]. Remuneration is subject to standard PAYE tax deductions, National Insurance contributions, and statutory workplace pension auto-enrolment[cite: 309, 315]. Holiday entitlement accrues up to a maximum of 5.6 weeks (28 days) per fiscal year pro-rata[cite: 312].

7. Restrictive Covenants [cite: 337]

To protect Orizon's legitimate business interests, all workers agree to the following post-termination restrictions for a period of 6 months following their final assignment[cite: 338, 346]:

Do not approach clients you served within the last 12 months to offer competing services[cite: 340].

Do not entice away or recruit any Orizon employee or contractor you worked with[cite: 342].

Do not work for a competing staffing solution agency within your active geographic areas[cite: 344].

9. Termination of Engagement [cite: 353]

Contracts can be terminated by either party by providing the exact notice parameters set out in your Assignment Schedule[cite: 355, 356]. Concluding a specific site placement does not automatically terminate your employment relationship with Orizon; the agency will attempt to source alternative assignments where available[cite: 358, 359, 360].

Master General Provisions [cite: 21, 10]

Governing Law (Clause 21.1): These Terms and any related non-contractual claims are governed exclusively by the laws of England and Wales, under the exclusive jurisdiction of the English courts[cite: 267, 268].

Data Protection & Confidentiality: Both parties maintain compliance with the UK GDPR and Data Protection Act 2018[cite: 152]. Orizon is the prime Data Controller for all worker files[cite: 153]. Severability (Clause 21.3): If any part of these terms is deemed unlawful or unenforceable by a court, that specific provision shall be severed without undermining the structural validity of the remaining legal clauses[cite: 273, 368].
